These Terms & Conditions ("Terms") govern your access to and use of the website and services operated by Griffain ("Griffain," "we," " us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, you may not use our website or services.

You may use our website for lawful purposes only. You agree not to misuse the site, including by attempting to gain unauthorized access, introducing malware, scraping content without permission, or using the site in a way that could damage, disable, or impair it. All content on this site is the property of Griffain or its licensors and is protected by intellectual property laws.

Griffain provides marketing agency services including digital marketing, paid media and advertising, lead generation, and brand strategy. The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate written agreement between you and Griffain. In the event of any conflict between these Terms and a signed service agreement, the signed agreement controls.

Marketing outcomes depend on many factors outside our control, including market conditions, platform policies, and client cooperation. We do not guarantee specific results, rankings, leads, or revenue.

Clients agree to provide accurate information, timely access to required assets and accounts, and approvals needed for us to perform the agreed services. Delays caused by a client may affect timelines and results.

Fees and payment terms for services are specified in your service agreement. Unless otherwise stated, invoices are due as set out in that agreement. Late payments may result in suspension of services. Website use is free of charge.

By checking the appropriate consent box on our contact form, you opt in to receive SMS text messages from Griffain at the mobile number you provide. There are two separate opt-ins: one for marketing/promotional messages and one for non-marketing/transactional messages. Consent is never pre-checked and is not a condition of any purchase.

Upon full payment, client-owned deliverables created specifically for an engagement are transferred to the client to the extent agreed in the service agreement. Pre-existing materials, tools, templates, and methods developed by Griffain remain our property. You grant us a license to use your brand assets as reasonably necessary to perform the services.

Each party agrees to keep confidential any non-public information received from the other in connection with an engagement, and to use it only to perform or receive the services.

To the maximum extent permitted by law, Griffain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits or data, arising out of or related to the use of our website or services. Our aggregate liability for any claim is limited to the amount you paid us for the services giving rise to the claim in the twelve months preceding it.

You agree to indemnify and hold Griffain harmless from claims, damages, and expenses arising from your misuse of the website, your breach of these Terms, or your provision of inaccurate or unauthorized information (including mobile numbers for SMS messaging).

Our website and campaigns may reference or use third-party platforms (such as advertising networks, analytics tools, and SMS/email providers). We are not responsible for the practices or policies of those third parties.

These Terms are governed by the laws of the State of Missouri and the United States, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in or near St. Peters, Missouri.

We may revise these Terms at any time by posting an updated version on this page with a revised "Last updated" date. Your continued use of the website or services after changes are posted constitutes acceptance of the revised Terms.
